4. Payment Terms
4.1 Pricing and Quotations
- All prices are quoted in Indian Rupees (INR) unless otherwise specified
- Quotations are valid for 30 days from the date of issue
- Prices may be subject to applicable taxes and government levies
- Theanna reserves the right to adjust pricing for scope changes
4.2 Payment Schedule
- Small Projects (Under ₹1,00,000): 50% advance, 50% on completion
- Medium Projects (₹1,00,000 - ₹5,00,000): 40% advance, 30% at milestone, 30% on completion
- Large Projects (Above ₹5,00,000): 30% advance, milestone-based payments
- Monthly Services: Payment due within 15 days of invoice date
4.3 Payment Methods
- Bank transfer (preferred method)
- UPI payments for smaller amounts
- Cash payments (for local clients, up to ₹50,000)
- Cheque payments (subject to clearance)
4.4 Late Payments
- Overdue payments may incur interest charges of 2% per month
- THE ANNA TEX may suspend services for accounts overdue by 30+ days
- Legal action may be taken for payments overdue by 90+ days
5. Intellectual Property Rights
5.1 Client-Owned IP
- Clients retain ownership of their business content, data, and proprietary information
- Client logos, trademarks, and brand materials remain client property
- Custom code developed specifically for the client becomes client property upon full payment
5.2 Theanna-Owned IP
- THE ANNA TEX retains rights to proprietary frameworks, tools, and methodologies

- We reserve the right to use project experience for marketing (without revealing confidential details)
5.3 Third-Party Components
- Third-party software licenses are subject to their respective terms
- Clients are responsible for ongoing licensing fees for third-party components
- Theanna will inform clients of any third-party dependencies
6. Confidentiality
THE ANNA TEX maintains strict confidentiality regarding:
- Client business information and trade secrets
- Project details and technical specifications
- Financial information and pricing details
- User data and analytics information
- Any information marked as confidential by the client
This confidentiality obligation survives termination of the service agreement.
7. Warranties and Limitations

- Bug fixes and corrections are provided free for 30 days post-delivery
- Website hosting uptime guarantee of 99.5% (where applicable)

8. Project Timelines and Delivery

8.2 Delivery and Acceptance
